Definitions
• "Service Provider" refers to Stevenson Plumbing Electric HVAC, the service entity.
• "Client" refers to the individual or entity receiving the service.
• "Service" refers to Preventative Maintenance and Annual Services.
Service Description
• Scope of Services: Review the entire operating process for the serviced equipment and change any related fluids as required. This will include inspection, cleaning, lubrication, testing, and adjustments to the equipment to ensure optimal performance and safety.
• The Service Provider agrees to provide the Service to the Client in accordance with the terms outlined herein.
• Exclusions: Services or components not covered under the maintenance program to include; repairs resulting from negligence, misuse, or natural disasters. Any specific or special order parts or materials.
• Service Hours: All services will be performed during regular business hours, 8 a.m. to 4:30 p.m., Monday through Friday.
• Access to Premises: To perform any service outlined in this service contract, we will require full access to the property. The customer is responsible for providing access to the property.
Payment
• The Client agrees to pay the Service Provider the agreed-upon fees for the Service as detailed in the invoice.
• Payment terms shall be a monthly automatic payment from the date the contract is signed unless otherwise specified.
• Annual services are subscription-based services with a monthly recurring charge. Any additional costs for parts, materials, and labour outside of the annual service will be billed and paid for separately from the annual service.
Term and Termination
• Account Discount: Customers who subscribe to annual services will receive a 5% labour discount applied to their account for all services for the duration of the agreement
• The term of this agreement shall commence on the date the contract is signed and shall continue until the end of the agreed contract length.
• Either party may terminate this agreement by giving the other party five (5) business Days' written notice.
• If this contract is cancelled or terminated prematurely, the full agreement balance will be owed. The provided credit card will be used to pay the balance.
• The annual subscription is to be renewed one (1) year before the end of the subscription period.
Warranties
• The Service Provider warrants that the Service will be provided with reasonable care and skill and in accordance with industry standards.
• The Client warrants that they have the necessary rights and permissions to use any materials provided to the Service Provider for the provision of the Service.
Limitation of Liability
• In no event shall either party be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this agreement.
• Either party's total liability under this agreement shall not exceed the total amount paid or payable by the Client for the Service.
Confidentiality
• Both parties agree to keep any information disclosed by the other party in connection with this agreement confidential.
Governing Law
• This agreement shall be governed by and construed in accordance with the laws of Ontario, Canada.
Entire Agreement
• This agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
Amendments
• Any amendments to this agreement must be made in writing and signed by both parties.
Severability
• If any provision of this agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Waiver
• The failure of either party to enforce any provision of this agreement shall not constitute a waiver of such provision or any other provision.
